IBIA updates Bye-Laws to enhance governance and member services

As IBIA continues to grow with new members and expanding influence, we have reviewed and updated our Bye-Laws to reflect current standards and responsibilities. This update aims to enhance our governance and better serve our membership through improved operational efficiency. After detailed discussions and careful consideration, the Board has unanimously approved the final text of our revised Bye-Laws. Below are some of the main amendments:

Article 2: The Board can now create a new class of members in addition to the existing Corporate, Individual, and Honorary classes.

Article 13 (C) (iii): Officers of the Board can propose the retirement of a Board member if they do not meet the performance standards set by the Board.

Article 13 (C) (iv): Clarifications on the nature, tenure, and rights of co-opted Board members.

Article 13 (G): The procedure for electing a Board member in the event of a tie in votes between candidates.

Article 13 (M): Establishment, structure, composition, and duties of the Association’s Executive Committee.

Article 13 (N): Establishment of the Association’s IMO Representative and relevant duties.

Article 13 (O): Structure and composition of the Association’s Regional Boards.

Article 19: Proper and permissible use of the Association’s emblems.

Article 21: Any future amendment to the Bye-Laws will require a 2/3 majority vote by the Board.
